Sejuce Digital Agreement for SEO Services

In this agreement, SE JUCE DIGITAL PTY LTD is referred to as “Sejuce Digital”.

This agreement sets out the terms, responsibilities and service options between Sejuce Digital and the client.

Sejuce Digital provides SEO strategy, SEO implementation, SEO audits, website content, local SEO, technical SEO, Google Business Profile optimisation, reporting and related digital marketing support. The exact work included depends on the package, audit option or written scope agreed between Sejuce Digital and the client.

By accepting a proposal, signing this agreement, paying an invoice or approving work to begin, the client agrees to the terms below.

1. Parties

Service Provider: SE JUCE DIGITAL PTY LTD.

Client: The business, company, sole trader, partnership or authorised representative engaging Sejuce Digital.

2. Client Responsibilities

The client agrees to:

  • Provide accurate business information, website access, hosting access, CMS access, Google Business Profile access, Google Analytics access, Google Search Console access and any other access needed to complete the agreed work.
  • Respond to reasonable requests within a practical timeframe so work is not delayed.
  • Review and approve content, website changes, technical recommendations, reports or requests when approval is needed.
  • Provide final approval before any major website, content, tracking or advertising change goes live, unless Sejuce Digital has already been given written permission to proceed without further approval.
  • Keep website hosting, domain names, plugins, themes, business accounts and third-party tools active and paid unless Sejuce Digital has agreed in writing to manage them.
  • Tell Sejuce Digital about any website changes, developer changes, plugin updates, redesigns, migrations, business changes or access changes that may affect the SEO campaign.
  • Provide Google Ads spend directly where paid search advertising is used. Management fees do not include ad spend unless stated in writing.
  • Not make major SEO, website, content, URL, plugin, theme, tracking or hosting changes without telling Sejuce Digital first, where those changes may affect rankings, traffic, enquiries or campaign performance.

3. Sejuce Digital Responsibilities

Sejuce Digital agrees to:

  • Provide the agreed SEO service, audit, campaign or consulting work with reasonable care and skill.
  • Use practical SEO strategy based on the client’s website, business goals, search demand, competitors, technical condition and available budget.
  • Provide clear recommendations where client action, approval or access is needed.
  • Keep the client informed of important campaign issues, blockers, risks or changes where relevant.
  • Provide reporting or updates according to the agreed package or written scope.
  • Use commercially reasonable care when making website, SEO, content, tracking or Google Business Profile changes.
  • Protect client access details, business information and private campaign information.

4. Communication

Sejuce Digital keeps communication direct and practical.

  • Email is the main channel for approvals, requests, written updates, reports and important project information.
  • Phone calls or video calls may be used for strategy, clarification or urgent issues where needed.
  • SMS or messaging apps may be used for quick updates only, unless otherwise agreed.
  • Sejuce Digital aims to respond to normal business enquiries within 1 to 2 business days.
  • Urgent issues should be clearly marked as urgent and sent by email, followed by a phone call where needed.

5. SEO Is Not a Guarantee of Rankings, Traffic or Sales

SEO involves search engines, competitors, website quality, technical setup, content, links, reviews, user behaviour, algorithm changes and business factors outside Sejuce Digital’s direct control.

Sejuce Digital does not guarantee first-page rankings, fixed ranking positions, traffic levels, enquiry numbers, sales, revenue, return on investment or specific timeframes.

Sejuce Digital’s role is to improve the client’s SEO foundations, content quality, technical setup, local search signals, page targeting and search strategy based on the agreed scope.

6. Packages and Payment Contributions

The client may choose from the SEO packages below. Package inclusions can be adjusted by written agreement where the client needs a different scope.

Unless stated otherwise in writing, Sejuce Digital’s fees are fixed package, project or retainer fees. The client is paying for Sejuce Digital’s SEO expertise, strategy, systems, tools, implementation, deliverables and campaign management, not a specific number of hours. Work is prioritised based on the selected package, agreed scope, campaign needs and commercial SEO judgement.

6.1 Business SEO Standard - $880 Inc. GST Per Month

This package is built for small businesses that need a clear SEO foundation and ongoing monthly work.

Typical inclusions:

  • Keyword research and search intent review.
  • On-page SEO for agreed priority pages.
  • Basic technical SEO checks and recommendations.
  • Google Business Profile optimisation where relevant.
  • Local SEO recommendations where relevant.
  • Website content recommendations.
  • Internal linking recommendations.
  • Basic backlink and authority review.
  • Monthly SEO work based on agreed priorities.
  • Monthly reporting or update summary.

6.2 SEO Momentum - $1,700 Inc. GST Per Month

This package is built for businesses that need stronger SEO output, more content work and a faster campaign pace.

Typical inclusions:

  • Everything in Business SEO Standard.
  • SEO strategy for a larger keyword set or service set.
  • More detailed competitor analysis.
  • Priority page optimisation.
  • Content planning for service pages, suburb pages, location pages or blog content where relevant.
  • SEO copywriting or content briefs within the agreed monthly scope.
  • Google Business Profile improvements where relevant.
  • Backlink analysis and link opportunity review.
  • More detailed monthly reporting and action planning.

6.3 Sejuce Me- $2,600 Inc. GST Per Month

This package is built for businesses in more competitive markets that need deeper SEO strategy, stronger content production and heavier implementation.

Typical inclusions:

  • Everything in SEO Momentum.
  • Advanced SEO strategy across services, locations, industries or product categories.
  • Deeper competitor and content gap analysis.
  • More extensive technical SEO review and implementation planning.
  • Expanded content strategy for money pages, blog support content, internal links and conversion sections.
  • Backlink profile analysis, authority gap review and link strategy recommendations.
  • Priority support for campaign decisions and SEO implementation.
  • More detailed reporting, roadmap updates and next-step planning.

6.4 Website SEO Re-Structure

Sejuce Digital may offer a website SEO re-structure where the client’s website needs foundation work before an SEO campaign can be rolled out properly.

Website SEO re-structure work starts from $2,600 inc. GST unless a different price is agreed in writing. This is a one-off fee for agreed foundation work and is separate from monthly SEO package fees unless stated otherwise in writing.

Website SEO re-structure work may include moving the website into WordPress or a proper CMS, rebuilding agreed core pages, improving page structure and navigation, setting up footer, contact or conversion sections, improving mobile layout, basic technical SEO setup, sitemap, indexing and tracking setup, or creating a page framework for future SEO content.

Unless stated otherwise in writing, website SEO re-structure work does not include a full content rollout, every future suburb page, service page, blog post, supporting SEO page, advanced development work, custom plugin development, ecommerce functionality or ongoing SEO management.

The exact scope, deliverables and implementation responsibility must be confirmed in a written proposal, invoice, package selection, email or custom agreement.

6.5 SEO Keyword Expansion Add-Ons

Sejuce Digital may offer SEO keyword expansion add-ons where the client wants to target additional suburbs, services, locations, products or search terms within an existing monthly SEO campaign.

Keyword expansion add-ons are charged in addition to the selected monthly SEO package. The available add-on level depends on the campaign level, keyword difficulty, competition, search intent and the amount of work needed.

Unless agreed otherwise in writing, keyword expansion add-ons apply to the same website and campaign. Extra keyword targets may require additional page optimisation, new pages, blog content, internal linking, content updates or technical work depending on search intent and competition.

Keyword expansion does not guarantee rankings, traffic, enquiries or sales for every added keyword. SEO work will focus on the agreed expanded keyword set, but results depend on search engines, competitors, website quality, implementation, budget and other factors outside Sejuce Digital’s direct control.

6.6 Custom Packages and Written Variations

Sejuce Digital may offer a custom SEO package, custom audit, custom monthly fee or custom scope where the client needs work outside the standard options listed in this agreement.

Any custom package, price, inclusion, exclusion or variation must be agreed in writing. Written agreement may include an accepted proposal, email confirmation, invoice, quote, online form submission or other written record between Sejuce Digital and the client.

Google Ads management is not included in the standard SEO packages unless it is listed in a written proposal, invoice, package or custom agreement. Where Google Ads management is included, ad spend remains separate and is paid by the client unless agreed in writing.

If a custom package is agreed in writing, that written scope will apply together with this agreement.

7. SEO Audit Options

SEO audits are one-off projects unless the client also signs up for an ongoing monthly SEO package.

7.1 Free SEO Snapshot Audit - $0

A quick review to identify obvious SEO issues and decide whether a deeper audit or monthly SEO campaign makes sense.

Typical inclusions:

  • High-level website review.
  • Basic keyword and page check.
  • Basic local SEO or Google Business Profile observations where relevant.
  • Clear next-step recommendation.

7.2 Small Business SEO Audit - $880 Inc. GST

A practical audit for businesses that want clear SEO issues, quick wins and a stronger action plan.

Typical inclusions:

  • Website SEO review.
  • Indexation and crawl checks.
  • Title tag and meta description review.
  • H1, heading and page structure review.
  • Core service page review.
  • Basic competitor comparison.
  • Google Business Profile review where relevant.
  • Basic backlink profile review.
  • Priority action list.

7.3 Growth SEO Audit - $1,700 Inc. GST

A deeper audit for businesses that need a stronger SEO roadmap before investing in monthly SEO.

Typical inclusions:

  • Everything in the Small Business SEO Audit.
  • More detailed keyword and search intent review.
  • Competitor page structure review.
  • Content gap analysis.
  • Internal linking review.
  • Technical SEO issue review.
  • Backlink analysis and authority gap review.
  • Local SEO review where relevant.
  • Recommended page map or content roadmap.

7.4 Enterprise SEO Audit - from $4,400 Inc. GST

A detailed audit for competitive websites, larger sites, ecommerce stores, service businesses with multiple locations or businesses preparing for a serious SEO campaign.

Typical inclusions:

  • Everything in the Growth SEO Audit.
  • Deeper technical SEO review.
  • Detailed competitor comparison.
  • Backlink analysis and link risk review.
  • Content quality and page depth review.
  • Service page, location page or category page recommendations.
  • Google Business Profile and local SEO review where relevant.
  • Tracking and reporting recommendations.
  • Prioritised SEO roadmap.

8. What Is Not Included Unless Agreed in Writing

The following items are not included unless they are listed in the package, proposal, invoice or written scope:

  • Website design or full website rebuilds.
  • Website hosting, domain registration or premium plugin fees.
  • Google Ads setup, Google Ads management and paid search campaign management, unless included in a written proposal, invoice, package or custom agreement.
  • Google Ads spend and any other paid search advertising spend. Advertising spend is paid separately by the client unless agreed in writing.
  • Graphic design, photography, videography or branding work.
  • Developer work outside agreed SEO implementation.
  • Large-scale content production outside the agreed monthly scope.
  • Link placement fees, sponsorship fees, directory fees or third-party publishing costs.
  • Legal, financial, medical or compliance advice.

9. Website, Hosting, Plugins and Access

If the client owns or controls the website, hosting, domain name, plugins, themes, email accounts or third-party tools, the client remains responsible for keeping them active, secure, backed up and paid.

If Sejuce Digital provides website hosting, maintenance or website management, the specific hosting, maintenance or management terms must be agreed separately in writing.

Where Sejuce Digital uses Elementor Pro, premium plugins, paid themes, SEO tools, templates or other paid software as part of the agreed work, those tools may be licensed to Sejuce Digital, the client or a third-party provider depending on the setup. Unless agreed otherwise in writing, Sejuce Digital does not transfer ownership of its own software licences, plugin licences, templates, tools, systems or accounts to the client.

If the client wants continued access to Elementor Pro features, premium plugin functionality, paid theme features, software licences or other third-party tools after Sejuce Digital’s work ends, the client may need to purchase, renew or maintain their own licence or subscription.

This applies whether the website is hosted by the client, hosted by a third-party provider or managed through a hosting arrangement involving Sejuce Digital.

If the client does not purchase, renew, replace or maintain the required licence or subscription after Sejuce Digital’s work ends, and the website loses features, updates, support, templates, design controls, forms, layouts, styling, editing ability or other functionality as a result, that is the client’s responsibility.

Sejuce Digital is not responsible for fixing, replacing, rebuilding, restoring or maintaining website features, plugin functions, theme functions, templates, forms, layouts or design elements that stop working because a licence, subscription, plugin, theme, account or third-party service is changed, cancelled, expired, unpaid or not replaced by the client.

Sejuce Digital is not responsible for downtime, plugin conflicts, hosting problems, domain expiry, email issues, malware, hacking, third-party software issues, developer changes, expired accounts, unpaid accounts or unauthorised changes caused by the client, the client’s staff, the client’s contractors, hosting providers, software providers or any other third party.

10. Content Approval and Technology-Assisted Work

Where Sejuce Digital writes, edits, prepares, optimises, uploads or publishes content, the client is responsible for checking factual accuracy, service details, pricing, legal claims, industry compliance, licences, qualifications, product information and any claims made on the website.

Sejuce Digital may use SEO tools, AI-assisted tools, automation tools, research tools, content tools, CMS tools and other software to assist with strategy, keyword research, content drafting, page optimisation, internal linking, reporting, website updates and publishing work.

These tools are used to improve efficiency, research, planning and implementation. Sejuce Digital remains responsible for applying SEO judgement, editing, checking and adapting the work to the agreed campaign or project scope.

The client understands that content, pages, metadata, images, internal links or website changes may be drafted, prepared, optimised, uploaded or published using a combination of human work, AI-assisted tools, SEO software and other technical processes.

If the client approves content, Sejuce Digital may treat that approval as confirmation that the content is accurate and suitable for publication.

11. Payments and Refunds

  • Monthly SEO packages are billed monthly in advance unless otherwise agreed.
  • SEO audits, website SEO re-structure work, setup fees and one-off projects are billed upfront unless otherwise agreed.
  • Work may start, be scheduled, be researched, be planned or be prepared once payment has been made or once the client has approved work to begin.
  • Fees are non-refundable once work has started, work has been scheduled, work has been prepared, deliverables have been created, deliverables have been provided, or the relevant service period has begun, except where required by law.
  • For monthly SEO services, the client is paying for the selected package, campaign management, SEO strategy, implementation capacity, tools, systems and deliverables during the relevant service period. Delayed access, delayed approvals, delayed client responses or client-caused delays do not create a refund entitlement.
  • Work may pause if invoices are overdue.
  • Sejuce Digital may charge reasonable additional fees for work outside the agreed scope, but only where that extra work is approved by the client.
  • Prices include GST where marked as inc. GST.

12. Late Payments

If payment is late, Sejuce Digital may pause work, delay deliverables, restrict further service or end the agreement after giving written notice.

Paused work does not remove the client’s responsibility to pay invoices for work already completed, work already scheduled or services already provided.

13. Cancellation and No Lock-In Contracts

Sejuce Digital does not lock clients into long-term SEO contracts unless a fixed term is agreed in writing.

Monthly SEO services continue month to month. Either party may cancel monthly SEO services by giving 30 days’ written notice by email.

Cancellation does not remove the client’s responsibility to pay for work already completed, work in progress, work already scheduled, the current service period, approved extra work or approved third-party costs.

Fees already paid are not refunded because the client changes their mind, no longer wants the service, delays access or approval, changes business direction, changes website provider, changes developer, pauses their business, or cancels after work has started, except where required by law.

If monthly SEO services are cancelled, Sejuce Digital may use the notice period to complete agreed work, finalise outstanding actions, prepare a handover summary or close the campaign.

14. Pausing Work

Sejuce Digital may pause work where:

  • The client has not provided required access.
  • The client has not provided required approvals.
  • The client has not paid an invoice by the due date.
  • The website is unavailable or technically blocked.
  • A third-party issue prevents the work from continuing.

15. Reporting

Reporting depends on the package or audit selected.

Reports may include rankings, website traffic, keyword movement, page improvements, completed actions, technical issues, Google Business Profile notes, content recommendations, backlink observations or next steps.

SEO reporting is used to guide strategy. It does not guarantee future rankings, traffic, leads or sales outcomes.

16. Third-Party Platforms

SEO work may involve Google, WordPress, Elementor, hosting providers, analytics tools, SEO tools, directories, plugins or other third-party platforms.

Sejuce Digital is not responsible for changes, outages, pricing, data accuracy, policy changes, account restrictions or technical issues caused by third-party platforms.

17. Confidentiality

Both parties agree to keep private business information confidential unless disclosure is required to complete the work, comply with the law or obtain professional advice.

18. Intellectual Property

Once the client has paid all amounts owing, the client owns the final approved content, page copy and deliverables created specifically for the client.

Sejuce Digital keeps ownership of its internal systems, templates, processes, prompts, tools, scripts, checklists, frameworks and working methods.

19. Limitation of Liability

To the maximum extent permitted by law, Sejuce Digital’s liability is limited to the amount paid by the client for the relevant service in the one month before the issue arose, or the amount paid for the relevant one-off audit, whichever applies.

Sejuce Digital is not liable for indirect loss, loss of profit, loss of revenue, loss of ranking, loss of traffic, loss of business opportunity, loss caused by third-party platforms, algorithm changes, website downtime, client changes or unauthorised changes made by others.

Nothing in this agreement excludes rights or guarantees that cannot legally be excluded.

20. Agreement Acceptance

This agreement is issued by Sejuce Digital for the selected SEO service, SEO audit or agreed digital marketing work.

By ticking the acceptance box, signing this form electronically, submitting this form or paying the related invoice, the client confirms they have read, understood and accepted this agreement.

The client confirms they are authorised to accept these terms on behalf of the business named in the form. The submitted form record, including the client’s details, selected service, date and electronic signature, forms part of this agreement.
